CRISPi SUPPER CLUB SWEEPSTAKES 

OFFICIAL RULES 

NO PURCHASE NECESSARY TO ENTER OR WIN 

 

1) SWEEPSTAKES PERIOD: The CRISPi Supper Club Sweepstakes (the “Sweepstakes”) starts on May 9, 2026 at 9:00 AM Eastern Time (“ET”) and ends on May 20, 2026 at 11:59 PM ET (the "Sweepstakes Period"). 

2) ELIGIBILITY:  No purchase necessary to enter. The Sweepstakes is open only to legal residents of the 50 United States, the District of Columbia, and Puerto Rico, who (i) are at least 18 years of age or older at the time of entry; (ii) have an Instagram account; (iii) have purchased a Ninja Crispi or Ninja Crispi Pro prior to May 9, 2026; and (iv) follow the instructions herein to enter (the "Entrant"). Proof of Ninja Crispi or Ninja Crispi Pro purchase may be required. Sponsor reserves the right to disqualify any Entrant who cannot provide satisfactory proof that the device was purchased prior to the start of the Sweepstakes Period. The officers, directors and employees of SharkNinja Operating, LLC (the “Sponsor”), its respective subsidiaries and affiliated companies (the “Promotion Parties”) and the immediate family members (parent, child, sibling, and spouse of each) of and/or persons living in the same household as such individuals (whether related or not) are not eligible to participate. This Sweepstakes is void where prohibited by law.  

3. HOW TO ENTER: To enter the Sweepstakes, you must submit your entry on Instagram as further described below. You must be a registered user of Instagram and your account must be set to “public”.  If you do not have an account, visit Instagram to create one. There is no fee or charge to become a registered user.  By submitting your information and creating an Instagram account, you agree to the Instagram terms of use and privacy notice. If you do not agree to such terms of use and privacy notice, you cannot create an Instagram account or participate in the Sweepstakes. You can return or set your Instagram account to “private” any time after the Sweepstakes winner announcement. 

To Enter:  

1. Go to www.instagram.com and log into your account. 

2. You must follow @ninjakitchen on Instagram (if you are not doing so already). 

3. Post one (1) original video or photo on Instagram featuring your use of Ninja’s Crispi or Crispi Pro.  

4. Include the hashtags #NinjaSweepsEntry and #CRISPiSupperClub in your post. 

5. Tag @ninjakitchen in your post. 

6. Ensure your Instagram account is public at the time of entry and winner selection. 

All entry information (including the required hashtag as noted above) shall be collectively referred to herein as the entry (the “Entry”). Limit of one (1) Entry per person throughout the Sweepstakes Period, using only one (1) Instagram account. Please Note: Eligible Entries will not be judged and therefore the content of your Entry will not increase or decrease your chances of winning a prize. 

By participating in the Sweepstakes, Entrants agree to be bound by these Official Rules. Entrants irrevocably grant to Sponsor, its affiliates, agents and licensees, the royalty-free right and permission to unconditionally reproduce, store, transmit, publish, display, use or reuse your name, Entry, photo, and prize information, as well as any other information or materials arising out of your participation in the Sweepstakes for advertising, promotional, commercial, publicity and/or any other purposes (without limitation), in any and all media now or hereafter known, in any language, throughout the world, where legally permissible, and in any manner without further review, notice, approval, consideration or compensation of Entrant unless prohibited by law. By participating, Entrants further release Sponsor from any future claims arising out of any use or disclosure of Entrants participation consistent with these Official Rules. By participating, Entrants acknowledge and agree that Entrants will not now or in the future be paid or compensated in any way for participation or for granting the Sponsor any of the rights set out in these Official Rules, whether chosen as a winner or not. Entrants further agree that Sponsor is not obligated to make use of any of the rights granted in these Official Rules.  

Usage of Instagram  may require a mobile device and therefore you may be charged for standard data rates according to the terms and conditions in your agreement with your wireless carrier. You agree to incur any and all applicable charges demanded by your wireless carrier. You should also check your device's features for capabilities and check the device manual for specific use instructions  

The person submitting the Entry must be the authorized account holder of the Instagram account, otherwise the Entry may be deemed void. In the event of a dispute over the identity of a potential winner, the Entry will be declared made by the authorized holder of the Instagram used for entry, and potential winner may be required to provide identification sufficient to show that entrant is the authorized account holder of such account. The “authorized account holder” is the natural person assigned to the applicable account by Instagram.  Proof of submission of an Entry does not constitute proof of delivery of Entry.  Multiple accounts may not be used, and anyone found to use multiple accounts to enter will be deemed ineligible. 

By submitting your Entry, you agree that (1) your Entry conforms to any terms of use/ platform guidelines, policies and content restrictions of Instagram; (2) conforms to the Guidelines and Content Restrictions below; and (3) Sponsor, in its sole discretion, and without notice, may disqualify you from the Promotion if they determine that your Entry fails to conform to these Official Rules including without limitation the Guidelines and Content Restrictions below. 

Guidelines and Content Restrictions 

• The Entry must not include any private information such as a full name, address, phone number or email address; 

• The Entry must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity, copyright, trademark, or other intellectual property rights;  

• The Entry must not disparage or embarrass Sponsor, their owners and employees, or any other person or party affiliated with the Sweepstakes; and  

• The Entry must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous, or libelous. 

 

If the Sponsor determines that the content of the Entry does not comply with the Guidelines and Content Restrictions, the Entry will not be eligible for any prize consideration and may be withdrawn without notice from the Sweepstakes at any time at the sole discretion of the Sponsor. 

By submitting an Entry, Entrant agrees to comply with the Sweepstakes Official Rules. Entries that do not comply with these Official Rules, as determined in Sponsor sole discretion, will be disqualified from the Sweepstakes. Decisions of the Sponsor are final and binding.   

4) RANDOM DRAWING: A random drawing will be held on May 21, 2026, from among all eligible Entries received in the Sweepstakes to select one (1) potential winner. Potential winner is subject to eligibility verification and compliance with these Official Rules. Upon verification and compliance with these Official Rules, the potential winner will be deemed the “Winner”. Odds of winning depend on the total number of eligible Entries received throughout the Sweepstakes Period. 

5) PRIZE (1): The Winner will receive a prize package containing the following Ninja devices:  

• (1) Ninja Swirl ($349.99);  

• (1) Ninja Slushi XL ($349.99); and 

• (1) Ninja Luxe Café ($599.99) 

Approximate Retail Value (“ARV”) of prize package: $1299.97. Restrictions may apply. All federal, state, and other tax liabilities arising from this Sweepstakes are the sole responsibility of the Winner.  

6) PRIZE RESTRICTIONS: No substitutions, cash equivalents, or transfer of prize permitted except at the sole discretion of the Sponsor, who reserves the right to substitute prize (or portion thereof) with one of comparable or greater value. Prizes may not be sold, bartered, or exchanged by Winner. Prize may not be redeemed for cash. Prize is non-transferable, non-resalable, and may not be combined with other promotional offers, discounts, or codes unless expressly permitted by Sponsor.  

The Promotion Parties are not responsible for damage or loss of a prize after it has been delivered to Winner. Sponsor makes no warranties, and hereby disclaims any and all warranties, expressed or implied, concerning any prize furnished by third parties in connection with the Sweepstakes. All details of prize not specified herein shall be determined solely by Sponsor. 

7) WINNER NOTIFICATION AND PRIZE FULFILLMENT: The potential Winner will be notified on May 21, 2026, by the Sponsor via direct message from @ninjakitchen to potential Winner’s Instagram account. The required response to such direct message (e.g., full name, mailing address, email address, etc.) must be received within 48 hours from the time initial direct message was sent or the potential Winner will be disqualified, and an alternate potential Winner may be selected. Sponsor assumes no responsibility for undeliverable direct message resulting from any form of active or passive filtering by Instagram or for insufficient space in user’s account to receive direct messages. Return of any direct message as undeliverable will result in disqualification of potential Winner and an alternate potential Winner may be selected. The potential Winner may be required to sign and return to Sponsor an Affidavit of Eligibility/Liability Release including (where lawful) a publicity release for receipt by Sponsor by the due date indicated in the notification correspondence. If any required documents are not returned within the time specified in the notification correspondence, or if any notification is returned as undeliverable, then the prize may be forfeited and an alternate potential Winner may be selected at the Sponsor’s sole discretion, time permitting. Only three (3) random drawings to select alternate winners (if necessary) will be conducted, after which, the prize will remain un-awarded. Prize will be fulfilled within 24 hours after notification, verification, and confirmation of Winner. 

8) GENERAL CONDITIONS: By entering, Entrants agree to release and hold harmless Sponsor and each of their affiliates, licensees, parents, franchisees, subsidiaries, prize suppliers, advertising and promotion agencies, and each of their respective employees, officers, directors, shareholders, agents, successors and assigns (collectively, the "Releasees") from any and all liability or any injuries, losses or damage of any kind which may arise from or in connection with this Sweepstakes or the acceptance and/or use of any prize. If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes or any element thereof including the right to modify these Official Rules. The use of any automated launching or entry software or any other mechanical or electronic means that permits the participant to automatically enter repeatedly is prohibited. Any Entries found or suspected to be submitted in this manner will be deemed 'void' by the Sponsor at its sole discretion. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.  

9) SWEEPSTAKES ERRORS: Sponsor and its parents, affiliated and subsidiary companies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Sweepstakes; (b) in any related advertising or promotion of this Sweepstakes; and/or (c) in these Official Rules. In the event of any ambiguity(s) or error(s) in these Official Rules, Sponsor reserves the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Sweepstakes. 

10) PRIVACY: By entering the Sweepstakes, you grant the Releasees permission to use your personal information in accordance with Sponsor’s privacy policy located at https://www.ninjakitchen.com/page/privacy-policy. By participating in the Sweepstakes, Entrants hereby acknowledge that they have read and accepted Sponsor’s privacy policy. Information collected from Entrants (such as name, postal address and email address) will not be re-used, sold or shared in any manner by the Sponsor or any third parties. 

11) GOVERNING LAW AND JURISDICTION: Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to any conflict of law principles (whether of the Commonwealth of Massachusetts or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Massachusetts. 

12) WINNER NAME: For the first name, last initial city and state of the Winner, available after May 24, 2026, send a self-addressed, stamped envelope to SharkNinja Operating LLC, 89 A Street, Needham, MA 02494 Attn: Digital Department. Requests must be postmarked by June 14, 2026. 

13) SPONSOR: The Sponsor of this Sweepstakes is SharkNinja Operating LLC at 89 A Street, Suite 100, Needham, MA 02494.
